Terms of Service

These Terms of Service ("Terms") govern your access to and use of Briefed. By creating an account or using the service, you agree to these Terms. Briefed is operated by PhantomDesk LLC.

1. The service

Briefed is a personalized daily brief delivered by email. We generate your brief overnight based on the topics, entities and preferences you choose, and deliver it to the email address associated with your account. Briefed is email-only — there is no separate app required to receive your brief.

2. Accounts

To use the service you create an account through our authentication provider (Clerk). You are responsible for the accuracy of the information you provide and for keeping your credentials secure. You must be old enough to form a binding contract in your jurisdiction to use Briefed.

3. Subscriptions and billing

When you subscribe, we disclose the plan price, the auto-renewal terms and how to cancel at the point of sale, and you affirmatively consent to those terms before your payment method is charged.

Briefed provides analysis and context, not investment, legal, tax or other professional advice. Nothing in your brief is a recommendation to buy, sell or hold any security or to take any specific action. Markets carry risk, content may be incomplete or contain errors, and you are solely responsible for your own decisions. Consult a licensed professional before acting on anything you read in Briefed.

6. Intellectual property

The Briefed service, its software, and its design are owned by PhantomDesk LLC and protected by applicable laws. We grant you a limited, non-exclusive, non-transferable right to use the service for your personal or internal business purposes, subject to these Terms.

7. Third-party services

We rely on third-party providers to operate Briefed, including Clerk (authentication), Neon (database hosting), Resend (email delivery), Stripe (payments), Anthropic (AI processing) and third-party news and market-data sources. Your use of the service may also be subject to those providers' terms.

8. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and accuracy of content, to the fullest extent permitted by law.

9. Limitation of liability

To the fullest extent permitted by law, Briefed and its providers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss arising from your reliance on brief content. Our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the claim.

10. Termination

You may stop using the service and cancel at any time. We may suspend or terminate access if you breach these Terms or to protect the service and its users.

11. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, notify you. Continued use after changes take effect means you accept the updated Terms.

12. Governing law and disputes

Governing law. These Terms, and any dispute arising out of or relating to them or the Briefed service, are governed by the laws of the State of Illinois and applicable U.S. federal law, without regard to conflict-of-laws principles. Subject to the arbitration provision below, any dispute not subject to arbitration will be brought exclusively in the state courts located in Kane County, Illinois or the U.S. District Court for the Northern District of Illinois, and both parties consent to personal jurisdiction there.

Dispute resolution; binding arbitration. PLEASE READ CAREFULLY — THIS AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO SUE IN COURT AND TO A JURY TRIAL. Any dispute, claim, or controversy arising out of or relating to these Terms or the Briefed service (a "Dispute") that cannot be resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its then-current consumer arbitration rules, rather than in court, except that either party may bring a qualifying individual claim in small claims court. This arbitration agreement is governed by the Federal Arbitration Act (FAA).

Informal resolution first. Before initiating arbitration, the raising party will send written notice describing the Dispute, and the parties will attempt in good faith to resolve it for 30 days.

Class action waiver. You and PhantomDesk LLC agree each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate claims or preside over any class or representative proceeding.

Exceptions. Arbitration is not required for: (a) qualifying small-claims-court claims; (b) claims that cannot be compelled to arbitration as a matter of law, including, where applicable, claims of sexual assault or sexual harassment under the federal Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act; and (c) requests for injunctive relief to protect intellectual property.

Your right to opt out of arbitration. You may opt out of this arbitration agreement and the class action waiver by sending written notice to morning@morningbriefed.com within 30 days of first accepting these Terms, including your name and the email address on your account. Opting out will not affect any other part of these Terms.

Changes to this arbitration provision. Notwithstanding Section 11, we will give at least 30 days' advance notice of any material change to this Section 12, and any such change will apply only to Disputes arising after it takes effect. If you do not agree to a change, you may reject it by closing your account before it takes effect, and the prior version of this Section 12 will continue to govern.
